RestQ terms

These terms govern access to and use of RestQ, the software as a service (SaaS) owned by Dazeris Software, S.L.U. ("Dazeris"), by the companies, businesses or professionals that contract it ("the Customer").

Note: This is a courtesy English translation. In the event of any discrepancy, the Spanish version prevails.

RestQ is a service aimed exclusively at companies and professionals. It is not intended for consumers.

Contracting RestQ implies acceptance of these terms, together with the proposal or order accepted by the Customer and the data processing agreement, which forms part of these terms.

2. Definitions

  • RestQ / the Service: the Dazeris SaaS application for mattress and bedding stores and retailers with a dedicated sleep section, including the Android and iOS apps, the web app for computers, the administration backoffice and its features (management of products, manufacturers, catalogues and prices, generation and retrieval of quotes, comparator, configuration of options, price calculation and export of quotes in PDF).
  • Customer: the company, business or professional that contracts the Service.
  • Authorised users: the persons to whom the Customer grants access to the Service by means of credentials, with the roles and permissions that the Customer determines.
  • Tenant: the isolated logical space in which the data of each Customer is organised.
  • Order: the proposal, quote or order accepted by the Customer, which sets out the contracted scope and the price.
  • Customer Data: the information that the Customer or its Authorised users enter or manage in the Service.

3. Purpose

Dazeris grants the Customer the non-exclusive, non-transferable and limited right to access and use RestQ during the term of the contract, in accordance with these terms and the accepted Order.

The Service is provided in SaaS mode: the Customer accesses it through the Internet, without needing to install the software, normally by means of users created in the system and, where applicable, through an assigned subdomain.

4. Registration and contracting

Contracting is formalised through the Customer's acceptance of the Order. Dazeris may carry out the initial configuration of the tenant and, when so agreed, the initial upload of products, catalogues, prices and other data provided by the Customer or its suppliers.

The Customer is responsible for the accuracy of the data provided for registration and for keeping it up to date.

5. Trial period

Where so offered, Dazeris may provide a free trial period of 30 days, intended for the Customer to evaluate the Service.

During the trial the Service is provided "as is", and may have limited features. Once the trial period ends without contracting, Dazeris may suspend access and delete the associated data in accordance with the section on data retention and deletion.

6. Authorised users, roles and permissions

The Customer decides who its Authorised users are and with which roles and permissions; additions, removals and role changes are carried out by Dazeris at the request of an authorised person of the Customer, and the Customer can adjust each user's permissions itself from the application. The Customer is responsible for the use that such users make of the Service and for the confidentiality of their credentials.

The Customer must report without delay any unauthorised use or loss of credentials of which it becomes aware.

7. Permitted use and prohibited use

The Customer undertakes to use RestQ in accordance with these terms, with applicable law and with its own purpose.

In particular, it is prohibited to: (i) assign, resell or sublicense the Service to third parties without authorisation; (ii) access or attempt to access data of other tenants; (iii) carry out reverse engineering, copy or attempt to extract the source code, except as permitted by law; (iv) introduce unlawful or malicious content; and (v) carry out actions that may damage, overload or compromise the security or operation of the Service.

8. Price, invoicing and taxes

The price of the Service is that indicated in the Order accepted by the Customer. These terms do not set a fixed price, which is agreed in each case.

Unless otherwise indicated in the Order, prices are understood to be in euros and do not include indirect taxes. The tax treatment corresponding to the Customer's territory and circumstances will apply (VAT, IGIC, IPSI or another applicable tax, where relevant). Invoicing and the form and term of payment will be those established in the Order.

Non-payment of the amounts due entitles Dazeris to suspend the Service in accordance with the section on suspension.

9. Duration, renewal and termination

The Service is contracted for the period indicated in the Order. Renewal is not automatic: registration, renewal and termination are managed at the Customer's request.

The Customer may request termination of the Service by notifying Dazeris through the enabled channels. Termination takes effect at the end of the contracted period, unless otherwise agreed, and does not give the right to the refund of amounts already paid, unless mandatory regulations provide otherwise.

10. Suspension of the Service

Dazeris may suspend all or part of access to the Service, with prior notice where reasonably possible, in the event of: (i) non-payment; (ii) use of the Service contrary to these terms or the law; (iii) risk to the security or integrity of the Service or of other customers; or (iv) legal requirement or requirement of a competent authority.

Whenever possible, Dazeris will endeavour to restore the Service once the cause of the suspension has been resolved.

11. Availability, support and maintenance

Dazeris will apply reasonable efforts to keep the Service available and functioning correctly, but does not guarantee uninterrupted or error-free availability. The Service may be affected by maintenance tasks, updates, technical incidents or causes beyond Dazeris's control (including infrastructure or connectivity providers).

Dazeris may carry out scheduled maintenance tasks, endeavouring to minimise the impact and, where reasonable, giving advance notice.

The scope of technical support (channels, hours and response times) will be that indicated in the Order or in the documentation of the Service.

12. Evolution and updates

RestQ is an evolving product. Dazeris may modify, add or remove features to improve the Service, maintain its security or adapt it to technical or legal changes, endeavouring not to substantially reduce the essential features contracted.

13. Intellectual property

RestQ, its software, source code, structure, design, interfaces, trademarks and other elements are the exclusive property of Dazeris or of its licensors. These terms do not transfer to the Customer any ownership rights over the Service, but only a limited right of use during the term of the contract.

14. Ownership of the Customer's data

The Customer Data is and will remain the property of the Customer. Dazeris does not acquire ownership over it and processes it only to provide the Service, in accordance with the section on data protection.

The Customer is responsible for the lawfulness of the data it enters into the Service. RestQ is not designed to collect data about the Customer's end customers: the data processing agreement instructs not to use the free-text field of quotes for that purpose, and the Customer is liable for any third-party data it nevertheless enters.

15. Data protection

In the provision of the Service, the Customer acts as data controller of the personal data it manages in RestQ, and Dazeris as data processor, processing such data only on behalf of and according to the instructions of the Customer.

The conditions of this processing (purposes, categories of data, security measures, sub-processors and duration) are governed by the data processing agreement that accompanies these terms, in accordance with Article 28 of the GDPR.

To provide the Service, Dazeris relies on sub-processors, in particular cloud infrastructure providers (Google / Firebase), which may process data on servers located outside the European Economic Area. In such cases, the appropriate safeguards provided for by data protection regulations apply (adequacy decisions or standard contractual clauses).

The processing of personal data that Dazeris carries out as controller (for example, the Customer's contact data) is governed by the privacy policy.

16. Confidentiality

Each party undertakes to maintain the confidentiality of the non-public information it accesses in connection with the relationship and to not use it for purposes other than the performance of the Service. This obligation will remain in force for as long as the information retains its confidential nature.

17. Warranties and limitation of liability

The Service is provided in accordance with these terms, with no more warranties than those expressly assumed. To the extent permitted by law, Dazeris excludes any implied warranty of suitability for a specific purpose, of commercial results or of uninterrupted operation.

To the extent permitted by law, Dazeris will not be liable for indirect damages, loss of profit, loss of business or of data arising from the use or inability to use the Service. Dazeris's total liability towards the Customer on any account will be limited to the amounts actually paid by the Customer for the Service in the twelve (12) months preceding the event that gives rise to the liability.

The foregoing limitations do not exclude or limit the liability that cannot be legally excluded, such as that arising from wilful misconduct or gross negligence.

18. Retention and deletion of data

During the term of the Service, the Customer may access and manage its data. After termination or expiry, Dazeris will make the Customer's data available to it or delete it in accordance with what is provided for in the data processing agreement, keeping it blocked only during the applicable legal periods.

Unless there is a legal obligation or a different agreement, once the period provided for in the data processing agreement has elapsed (30 days from termination or from delivery of the export), Dazeris will permanently delete the data associated with the account.

19. Subcontracting

Dazeris may rely on technology providers and subcontractors to provide the Service, maintaining its liability towards the Customer in accordance with these terms and, in matters of personal data, in accordance with the data processing agreement.

20. Amendment of the terms

Dazeris may amend these terms to adapt them to legal, technical or Service changes. Relevant amendments will be communicated to the Customer with reasonable advance notice. Continued use of the Service after they enter into force implies their acceptance.

21. Applicable law and jurisdiction

These terms are governed by Spanish law. Unless a mandatory rule provides otherwise, for any dispute the parties submit to the courts and tribunals of Dazeris's registered office.
